OTTANO TERMS & CONDITIONS

These Terms & Conditions apply to membership of Ottano and participation in events, drives, tours and other activities organised, promoted or facilitated by Ottano Automotive Ltd ("Ottano", "we", "us" or "our").

By becoming an Ottano member, booking or registering for an Event, making payment to Ottano, or participating in an Event, you agree to these Terms & Conditions.

Please read them carefully.

1. ABOUT OTTANO

Ottano Automotive Ltd operates an automotive membership community and organises automotive events, driving experiences, road trips, tours, social events and related activities in the United Kingdom and internationally.

References in these Terms to an "Event" include, where applicable, any:

• driving tour or road trip;

• morning or member drive;

• convoy;

• cars and coffee or other automotive gathering;

• social event;

• member meet;

• organised visit;

• excursion;

• activity;

• event organised by Ottano but hosted or led by an Ottano member, volunteer or representative; and

• other activity organised, promoted, coordinated or facilitated by Ottano.

Different Events may be subject to additional event-specific booking conditions. Where those conditions differ from these Terms, the event-specific conditions will apply to that particular Event to the extent of the difference.

2. MEMBERSHIP

Ottano membership is subject to application and approval by Ottano.

Membership is personal and does not create any partnership, agency, employment, fiduciary or other legal relationship between a member and Ottano.

Ottano may refuse, suspend or terminate membership where we reasonably consider this necessary to protect Ottano, its members, its reputation, its partners or the safe and appropriate operation of the community.

Membership does not guarantee access to any particular Event. Events may have limited capacity, vehicle requirements, eligibility criteria or other restrictions.

Members are expected to behave respectfully towards other members, Ottano staff, representatives, venues, suppliers and members of the public.

3. EVENT BOOKINGS

Places at Events are subject to availability and are not guaranteed until any required registration, booking process or payment has been completed.

Some Events may be free to attend while others require payment.

Where an Event has specific booking, payment, cancellation or eligibility conditions, these will be communicated as part of the booking process and form part of the agreement between the participant and Ottano.

Unless otherwise agreed by Ottano, bookings may not be transferred or resold without our prior approval.

Participants must provide accurate information when booking and must promptly tell us of any relevant changes.

4. TOUR BOOKINGS AND PAYMENTS

For paid tours, the payment schedule, deposit, balance due date and any applicable cancellation provisions will be stated at the time of booking or on the relevant tour page.

A place may not be regarded as fully confirmed until the required deposit or other payment has been received.

Failure to make a payment by the required date may result in the booking being cancelled.

Where a participant books on behalf of another person, passenger or additional driver, the person making the booking is responsible for ensuring that those individuals are aware of the relevant booking conditions and these Terms.

Additional requirements may apply to international tours, including passport, visa, insurance, vehicle documentation and entry requirements.

Each participant remains responsible for satisfying those requirements.

5. CANCELLATIONS, CHANGES AND REFUNDS

Cancellation and refund arrangements may vary between Events and will be stated during the relevant booking process.

Where specific cancellation terms have been supplied for an Event, those terms form part of these Terms & Conditions.

Ottano may make reasonable changes to an Event where necessary, including changes to:

• routes;

• timings;

• hotels;

• restaurants;

• meeting points;

• activities;

• ferry or transport arrangements;

• venues;

• itinerary;

• event hosts or representatives; or

• other elements of the Event.

Routes and itineraries should therefore be regarded as planned arrangements rather than guarantees that every road, stop or activity will remain unchanged.

Where circumstances outside our reasonable control affect an Event, we will take reasonable steps to manage the situation and, where applicable, will comply with any statutory obligations we owe to participants.

Nothing in this section affects any statutory rights that cannot lawfully be excluded.

6. PARTICIPATION TERMS AND RESPONSIBILITIES

6.1 Application

This section applies to participation in any Ottano Event.

It applies whether:

a. the Event is organised and attended by Ottano directors, employees or representatives;

b. the Event is organised by Ottano but hosted, led or facilitated by an Ottano member, volunteer, representative or other participant;

c. an Ottano member or volunteer acts as a convoy leader, route leader, event host, regional representative or point of contact;

d. no director, employee or representative of Ottano is physically present at the Event; or

e. all or part of the Event is provided, hosted or operated by a third-party venue, hotel, restaurant, ferry operator, activity provider or other supplier.

For the purposes of this section, "Ottano Parties" means Ottano Automotive Ltd and its directors, employees, officers, representatives, contractors, volunteers, event hosts, regional representatives, members acting on behalf of or assisting Ottano, convoy or route leaders and other persons assisting with the organisation or operation of an Event.

6.2 Voluntary Participation and Acceptance of Risk

Participation in an Event is voluntary.

Participants acknowledge that automotive events, driving, travel, group activities and attendance at venues involve risks which cannot be completely eliminated.

These may include:

a. road traffic accidents and collisions;

b. damage to or loss of vehicles or other property;

c. mechanical failure or breakdown;

d. personal injury or illness;

e. injury caused by vehicles, other participants, members of the public, equipment, road conditions, venues, weather or other circumstances;

f. theft or loss of personal property;

g. slips, trips, falls or other accidents at hotels, restaurants, meeting points, car parks, venues or other locations;

h. delay, disruption, cancellation, adverse weather, traffic, road closures or changes to itineraries;

i. acts or omissions of other participants, members, drivers, passengers, road users, suppliers, venue operators or third parties; and

j. other risks ordinarily associated with driving, travel, automotive events and group activities.

By participating, the participant acknowledges these risks and remains responsible for deciding whether participation in any particular Event or activity is appropriate for them.

6.3 Personal Responsibility

Each participant remains responsible for their own conduct, decisions, safety, property and vehicle at all times.

Participants are responsible for taking reasonable precautions appropriate to the circumstances and for declining to participate in any activity they consider unsafe, inappropriate or beyond their ability.

Participation in an Event does not transfer responsibility for a participant's conduct, vehicle or personal decisions to Ottano or another Ottano Party.

6.4 Responsibility for Driving

Where an Event involves driving, each driver remains solely responsible for the control and operation of their vehicle and for their decisions while driving.

Neither Ottano nor any Ottano Party assumes responsibility for the manner in which a participant drives.

A route, itinerary, convoy arrangement, recommendation, briefing, radio communication, navigation file, instruction from a route leader or the movement of another vehicle must never be interpreted as requiring a participant to:

a. exceed a speed limit;

b. breach any road traffic law;

c. perform an unsafe manoeuvre;

d. keep pace with another vehicle;

e. remain with a convoy;

f. continue driving where conditions are unsafe; or

g. drive beyond their own abilities or the capabilities of their vehicle.

Participants must exercise their own judgement at all times.

An Ottano Event taking place on public roads is not a race, rally, speed trial or competitive motorsport event.

There is no obligation to remain with another vehicle or with a convoy. Participants should prioritise safe and lawful driving and use the supplied route or navigation information to rejoin the group where appropriate.

6.5 Driving Licence, Vehicle and Insurance

Every driver is responsible for ensuring that:

a. they hold a valid and appropriate driving licence;

b. they are legally entitled to drive the vehicle concerned;

c. their vehicle is roadworthy and safe;

d. the vehicle complies with applicable legal requirements;

e. the vehicle has appropriate insurance for the driver, vehicle, countries visited and intended use;

f. any additional driver is appropriately licensed and insured; and

g. they carry any documents or equipment legally required in the countries through which they travel.

Participants are responsible for checking directly with their insurer that their insurance provides appropriate cover for participation in the relevant Event.

Ottano does not provide motor insurance for participants and does not warrant that a participant's individual insurance policy provides sufficient cover.

6.6 Fitness to Participate

Participants are responsible for ensuring that they are fit and able to participate safely.

A driver must not drive where their ability is materially impaired by alcohol, drugs, medication, fatigue, illness or any other circumstance.

Ottano may refuse or discontinue a participant's involvement in an Event where we reasonably consider that their conduct presents a material safety, legal or operational concern.

6.7 Member-Hosted and Member-Led Events

Some Ottano Events may be hosted, led or facilitated by Ottano members, volunteers, regional representatives, convoy leaders or other participants.

A person assisting in this capacity is doing so principally to help coordinate the Event.

Unless expressly agreed otherwise in writing, that person:

a. does not assume responsibility for the actions, vehicles, driving or safety of other participants;

b. does not guarantee the suitability or safety of a route, venue, meeting point or activity;

c. is not responsible for ensuring that another participant complies with applicable laws or these Terms; and

d. does not assume control of another participant or their vehicle.

To the fullest extent permitted by law, an Ottano member or volunteer will not be personally liable for loss, damage, injury or expense suffered by another participant merely because that person hosted, led, coordinated or assisted with an Event.

6.8 Routes, Navigation and Road Conditions

Any route, GPX file, navigation link, road recommendation, itinerary or other route information supplied by Ottano is provided for organisational and navigational purposes.

Road conditions, traffic, weather, closures, restrictions and hazards can change without notice.

Participants remain responsible for determining whether any road, route, junction or manoeuvre is safe and lawful for themselves and their vehicle.

If there is any conflict between a route instruction and road signage, traffic law, prevailing conditions or a participant's own judgement as to safety, the participant must disregard the route instruction.

Ottano does not guarantee that a convoy will remain together.

6.9 Accidents, Damage and Loss

To the fullest extent permitted by law, Ottano and the Ottano Parties will not be responsible for loss, damage, costs or expenses arising from:

a. damage to a participant's vehicle;

b. mechanical failure or breakdown;

c. an accident or collision caused by, involving or contributed to by a participant, another participant or another road user;

d. the acts or omissions of another participant;

e. theft, loss or damage to personal possessions;

f. fines, penalties, tolls, parking charges or other traffic or enforcement matters;

g. a participant's failure to comply with applicable law;

h. a participant's failure to obtain suitable insurance;

i. circumstances inherent in ordinary driving, travel or attendance at an Event; or

j. circumstances outside Ottano's reasonable control.

6.10 Claims Between Participants

Each participant is responsible for their own acts and omissions.

Where loss, damage or injury is caused by another participant, driver or third party, any claim should ordinarily be pursued against the person responsible and/or their insurer.

The fact that the individuals concerned met through Ottano, were attending an Ottano Event, were members of Ottano or were travelling as part of an Ottano group or convoy does not of itself make Ottano, an event host, route leader, regional representative or another Ottano Party responsible for the actions of the person who caused the loss.

6.11 Participant Indemnity

To the fullest extent permitted by law, each participant agrees to indemnify and hold harmless the Ottano Parties against reasonable losses, liabilities, claims, demands, damages, costs and expenses, including reasonable legal costs, arising from a third-party claim to the extent that the claim results from or is caused by:

a. the participant's negligent, reckless, dangerous, deliberate or unlawful act or omission;

b. the participant's driving or operation of a vehicle;

c. an accident, collision, injury, death, loss or property damage caused or contributed to by the participant;

d. the participant's breach of road traffic laws or other applicable laws or regulations;

e. the participant's use of a vehicle which is not roadworthy, legally compliant or appropriately insured;

f. the participant's material breach of these Terms or applicable Event requirements;

g. damage caused by the participant to a hotel, venue, ferry, car park, third-party property, another participant's property or other property;

h. a claim brought by a passenger, additional driver, guest or other person attending under or in connection with the participant's booking where the claim results from the participant's acts or omissions;

i. the acts or omissions of an additional driver to whom the participant has voluntarily given control of their vehicle;

j. the participant's conduct towards another participant, member of the public, supplier, venue operator or Ottano Party; or

k. any representation, commitment or agreement made by the participant purportedly on behalf of Ottano without Ottano's authority.

This indemnity is intended to protect Ottano and individuals who assist with the organisation and operation of Events, including members, volunteers, representatives, event hosts and convoy or route leaders.

The indemnity does not apply to the extent that the relevant loss or liability was caused by the negligence or breach of legal duty of the party seeking to rely upon it, or where such liability cannot lawfully be excluded or restricted.

6.12 Passengers, Guests and Additional Drivers

The person making a booking is responsible for making any passenger, guest or additional driver attending under their booking aware of the nature of the Event and these Terms.

Any person driving during an Event must satisfy the same licence, insurance, roadworthiness and legal requirements as the principal participant.

A participant must not permit another person to drive their vehicle unless that person is legally entitled and appropriately insured to do so.

6.13 Assistance Following an Incident

Ottano members, staff or representatives may choose to assist following an accident, breakdown, illness, injury or other incident.

This might include contacting emergency services, assisting with recovery arrangements, helping with transportation, contacting family members or providing other practical assistance.

Providing such assistance does not mean that Ottano or the person providing assistance accepts responsibility or liability for the underlying incident.

6.14 Safety and Operational Decisions

Ottano or an Event host may reasonably:

• refuse participation;

• ask a participant to leave an Event;

• alter or abandon a route;

• change a meeting point;

• discontinue an activity; or

• take other reasonable action

where this is considered appropriate for safety, legal, behavioural or operational reasons.

Participants must comply with reasonable safety-related requests made by Ottano, a venue or an Event host.

The exercise or non-exercise of such discretion does not transfer responsibility for a participant's conduct, driving, vehicle or personal decisions to Ottano or an Ottano Party.

6.15 Non-Excludable Liability and Statutory Rights

Nothing in these Terms excludes or restricts:

a. liability for death or personal injury caused by negligence where such liability cannot lawfully be excluded;

b. liability for fraud or fraudulent misrepresentation;

c. any other liability which cannot lawfully be excluded or limited;

d. statutory rights available to a consumer which cannot lawfully be waived; or

e. where applicable, rights arising under the Package Travel and Linked Travel Arrangements Regulations 2018.

Where responsibility for a loss is shared between a participant, an Ottano Party and/or another person, liability will, so far as permitted by law, reflect the extent to which the relevant party was responsible for that loss.

6.16 Overall Acknowledgement

By booking, attending or participating in an Event, the participant acknowledges that:

a. participation is voluntary;

b. automotive events, driving and travel involve inherent risks;

c. they remain responsible for themselves, their vehicle, their property, their conduct and their decisions;

d. they must exercise their own judgement rather than relying upon Ottano, an Event host, convoy leader or another participant for their safety;

e. Ottano members and volunteers who assist with Events do not assume personal responsibility for other participants merely by doing so; and

f. subject to liabilities which cannot legally be excluded, participants accept the risks ordinarily associated with their participation and will not seek to transfer responsibility for their own actions or those ordinary risks to Ottano or another Ottano Party.

7. THIRD-PARTY SUPPLIERS AND VENUES

Events may involve third-party suppliers including hotels, restaurants, ferry operators, transport providers, venues, parking facilities, activity providers, recovery companies and other businesses.

Participants must comply with any reasonable rules or requirements imposed by those suppliers.

Where a third party independently provides a service, that third party may have its own terms and conditions.

Ottano is not responsible for the independent acts or omissions of third parties except to the extent that applicable law makes Ottano responsible for them.

Where an Event constitutes a package or another regulated travel arrangement, Ottano will comply with the responsibilities imposed upon it by applicable travel law.

8. BEHAVIOUR AND CONDUCT

Ottano is intended to provide an enjoyable and respectful environment for members and participants.

We may refuse or terminate participation where a participant behaves in a way which we reasonably consider:

• dangerous;

• unlawful;

• abusive, threatening or discriminatory;

• materially disruptive;

• damaging to property;

• seriously detrimental to another participant's enjoyment of the Event; or

• likely to cause material reputational harm to Ottano.

Serious or repeated misconduct may also result in suspension or termination of membership.

Where participation is terminated because of a participant's misconduct, Ottano will not ordinarily be responsible for the participant's additional travel, accommodation or other consequential costs, subject always to applicable law.

9. ALCOHOL AND DRIVING

Ottano Events may include dinners, social gatherings and venues where alcohol is available.

Each participant is entirely responsible for ensuring that they comply with applicable drink-driving laws and are fit to drive.

The inclusion of alcohol at an Event does not imply that Ottano considers it appropriate for any participant to consume alcohol before driving.

Participants should make their own appropriate arrangements where they intend to consume alcohol.

10. PERSONAL PROPERTY

Participants remain responsible for their vehicles, keys, luggage, valuables and other personal property during an Event.

Ottano does not provide secure custody of vehicles or personal belongings unless this has been expressly agreed as part of a specific service.

Participants should take appropriate precautions and maintain any insurance they consider necessary.

11. PHOTOGRAPHY AND MEDIA

Photography and video recording may take place at Ottano Events.

Ottano may use photographs and video captured at Events for reasonable editorial, promotional, website and social media purposes.

Where a participant does not wish to appear prominently in such material, they should notify Ottano and we will take reasonable steps to accommodate the request.

Participants must respect the privacy and reasonable requests of other attendees when taking or publishing photographs or video.

Any professional or commercial filming at an Event may require Ottano's prior permission.

12. INTELLECTUAL PROPERTY

The Ottano name, logo, branding, website content, event materials, route materials and other intellectual property belonging to Ottano may not be reproduced or used commercially without our prior written consent.

Route information supplied for an Event is intended for participants' personal use in connection with that Event unless otherwise agreed.

13. PERSONAL INFORMATION

Ottano processes personal information in accordance with its Privacy Policy.

Information may be shared with relevant suppliers or service providers where reasonably necessary to administer a booking or deliver an Event, subject to applicable data protection law.

Participants are responsible for ensuring that information supplied to Ottano is accurate and up to date.

14. EVENTS OUTSIDE OUR REASONABLE CONTROL

Ottano will not be responsible for a failure or delay in performing an obligation where this results from circumstances outside our reasonable control, subject to any rights or remedies which applicable consumer or travel law provides.

Such circumstances may include severe weather, natural disasters, road closures, strikes, civil disturbance, government restrictions, border closures, major transport disruption, supplier failure caused by extraordinary circumstances, public health emergencies or similar events.

Where such circumstances arise, Ottano may reasonably change, postpone, relocate or, where necessary, cancel affected elements of an Event.

15. LIMITATION OF LIABILITY

Nothing in these Terms excludes liability which cannot lawfully be excluded.

Subject to that overriding provision and to any specific statutory rights applicable to a booking, Ottano will not be liable for losses which:

a. were not reasonably foreseeable when the contract was entered into;

b. arise from the participant's own act or omission;

c. arise from a participant's failure to comply with these Terms;

d. constitute business losses incurred by a participant attending in a personal capacity; or

e. are caused by circumstances for which Ottano is not legally responsible.

Nothing in this section reduces any additional rights a participant may have where the Package Travel and Linked Travel Arrangements Regulations 2018 apply.

16. CHANGES TO THESE TERMS

Ottano may update these Terms from time to time.

The current version will be published on our website together with the date on which it was last updated.

Material changes will apply prospectively and will not remove statutory or contractual rights which have already arisen.

Where appropriate, existing members or participants may be asked to accept updated Terms before registering for or participating in a future Event.

17. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary or, where that is not possible, removed.

The remaining provisions will continue in effect.

18. NO WAIVER

If Ottano does not immediately enforce a right under these Terms, this does not mean that Ottano has waived that right.

19. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of England and Wales.

If you are a consumer resident elsewhere in the United Kingdom, you will retain any protections and rights relating to jurisdiction which applicable consumer law gives you.

Subject to those rights, the courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms.
